vAPI Genesis Goose Eggs Campaign Terms

These standalone terms cover the vAPI Genesis Goose Egg application, selected mint right, wallet interactions, and digital collectible.

Campaign agreement

These vAPI Genesis Goose Eggs Campaign Terms and the vAPI Genesis Goose Eggs Official Rules form the complete agreement for the vAPI Genesis Goose Egg application and mint experience. They stand on their own. The Official Rules control eligibility, entry, the draw, and selection. These Terms control use of the campaign interface, wallet interactions, and collectible.

The current release is application-only. Allocation, selection, results, contract deployment, payment, and minting are not live and will require a separate operational release. Applying or being selected never requires a mint purchase.

The vAPI Genesis Goose Eggs Privacy Notice explains campaign data handling. It is presented alongside these Terms but is not itself accepted as a contract; acknowledgement that it was read is recorded separately within the combined campaign-documents checkbox. Mandatory law controls wherever it cannot be changed by contract.

Acceptance and eligibility

In the final Safety step, before submitting, the applicant uses one campaign-documents checkbox to accept the exact versions of these Terms and the Official Rules shown there and acknowledge reading the linked Privacy Notice. The applicant separately confirms age and that participation is lawful from the applicant's physical location. Acknowledging the Privacy Notice is not consent to data processing or marketing, and marketing consent for the email qualification route remains separate. If an applicant does not agree, the applicant must not submit or mint.

The applicant confirms that the applicant is at least 18, is legally permitted to participate and mint from the applicant's physical location, is not subject to applicable sanctions or another prohibition, controls the connected wallet, and is legally able to enter this agreement. An application made for another person or through a wallet the applicant does not control may be rejected.

A collectible for fun

A vAPI Genesis Goose Egg is a digital collectible offered for collecting and entertainment. It is not an investment, security, deposit, ownership interest, financial product, or promise of profit, resale value, governance, access, rewards, or future utility.

Artwork, metadata, and creative presentation may evolve, but this campaign includes and promises no visual reveal, hatch, Citizen status, trait, tier, perk, benefit, access, reward, governance right, or future feature.

Free application and selection

Applying is free. No purchase or payment is required to apply or be selected, and paying anything cannot improve the chance of selection. A valid application does not guarantee selection, allocation, mint access, a successful transaction, or receipt of a collectible.

One application is allowed per eligible person and wallet, subject to the identity limits in the Official Rules. Duplicate, automated, deceptive, manipulated, or otherwise ineligible applications may be rejected or disqualified where the Official Rules and applicable law permit.

Selected right and mint payment

Selection follows the process in the Official Rules. A selected wallet receives a non-transferable right, but not an obligation, to mint one vAPI Genesis Goose Egg at the exact price published by the Sponsor. The right is bound to that wallet, does not expire, and will not be reallocated.

The mint price is paid in USDC on Base. Network fees are separate. The connected wallet must hold enough USDC and native currency, approve the exact required allowance, and submit the mint transaction after the opening time. Selection itself is not a free prize and is not a promise that a mint transaction will succeed.

Wallet and transaction responsibility

The applicant controls the applicant's wallet, device, keys, approvals, accounts, and transactions. Before signing, the applicant must check the official domain, Base network, connected wallet, exact contract address, payment asset, price, allowance, and transaction details. Blockchain approvals and confirmed transactions may be irreversible.

The Sponsor will never ask by email for wallet access, a seed phrase, private key, signature, approval, payment, transaction, or mint action. The verification-code email is the sole campaign email without the safety word because the applicant creates it afterward; post-verification campaign email displays it for recognition. It is not authentication, is never requested as an input or reply, and does not replace independently opening and checking the official domain and contract address.

X, email, and third-party services

The campaign depends on systems the Sponsor does not fully control, including wallets, X, email delivery, Cloudflare Turnstile, hosting, Base, RPC providers, USDC, and block explorers. Their availability, rules, fees, security, and data practices may change or fail.

Authorization through X allows the requested campaign actions to be performed for the connected X account. Completion records only that the action succeeded at that time. The Sponsor does not promise to monitor whether the account continues to follow, like, or repost after qualification.

Intellectual property

The Sponsor and its licensors retain their rights in vAPI names, marks, site design, campaign story, artwork, metadata, and other materials. Owning a token does not by itself transfer copyright, trademark rights, source files, commercial rights, or ownership of the underlying intellectual property.

Any license to display or use collectible artwork will be stated in separately published mint terms or token metadata before minting opens. No license or broader right should be inferred from applying or being selected.

Bots, abuse, and unlawful use

Do not use bots, scripts, multiple identities, multiple wallets for one person, false information, compromised accounts, traffic relays, provider abuse, malicious code, or other methods intended to bypass campaign limits, disrupt the service, obtain another person's result, or interfere with selection or minting.

The Sponsor may rate-limit, challenge, investigate, suspend, reject, or disqualify activity reasonably associated with abuse, subject to the Official Rules and applicable law. Security checks reduce abuse; they do not guarantee that every bot will be blocked or every legitimate request accepted.

Taxes, law, and advice

The applicant is responsible for taxes, duties, reporting, network fees, and other costs that apply to the applicant. The applicant must not participate or mint where doing so would violate law, sanctions, a court order, or a binding provider restriction.

Campaign content is general information. It is not financial, investment, legal, accounting, or tax advice, and it is not a recommendation to buy, sell, or hold any digital asset.

Availability, changes, and cancellation

The Sponsor may maintain, rate-limit, pause, or disable the interface to protect applicants, providers, the draw, or the mint. Before results and contract deployment are published, the Sponsor may suspend, modify, or cancel the campaign for a legal, security, sanctions, provider, force-majeure, or material technical reason under the Official Rules.

Material document changes will be published with a new version. The version accepted with an application continues to govern that application unless a change is required by law or requires new acceptance. Cancellation, failed transactions, and any refund right follow the Official Rules and applicable law.

Disclaimers

To the maximum extent permitted by applicable law, the application, campaign interface, draw, mint interface, and collectible are provided "as is" and "as available." The Sponsor disclaims warranties of uninterrupted availability, error-free operation, selection, mint success, compatibility, market value, resale, metadata permanence, or future features.

The applicant accepts smart-contract, wallet, token, network, phishing, fraud, compatibility, tax, regulatory, and third-party-provider risk. No security control, safety word, support message, or site notice can remove the need to verify every wallet transaction.

Limits of liability

To the maximum extent permitted by applicable law, the Sponsor and its campaign service providers are not liable for indirect, incidental, special, consequential, exemplary, punitive, or third-party losses arising from user error, compromised credentials, phishing, an incorrect address or network, provider failure, network congestion, token behavior, market movement, lost access, or an irreversible transaction.

Nothing in these Terms excludes or limits liability for fraud or willful misconduct, or any statutory guarantee, remedy, consumer right, or other liability that cannot lawfully be excluded or limited. Any liability that may lawfully be excluded or limited is excluded or limited to the maximum extent permitted by applicable law.

Responsibility for breach

To the extent permitted by applicable law, an applicant is responsible for direct losses and reasonable costs caused by the applicant's fraud, unlawful conduct, infringement, or material breach of these Terms or the Official Rules. This section does not create responsibility that applicable law prohibits or limit a mandatory defense or remedy.

Severability, assignment, and waiver

If a provision is unlawful or unenforceable, it is limited only as far as necessary, and the remaining provisions continue where legally possible. A delay in enforcing a provision is not a waiver. An applicant may not transfer the application, selected right, or this agreement to another wallet or person.

The Sponsor may assign or transfer these Terms and campaign administration, together with the corresponding obligations, to an affiliate or successor in connection with a merger, reorganization, or sale or transfer of the vAPI Network business, subject to the Official Rules, the Privacy Notice, and applicable law. Until a transfer takes legal effect, Echelon Finance Ltd remains the Sponsor. Applicants will receive any notice or choice required by applicable law. Headings are for readability and do not change meaning.

Publisher, governing law, and notices

The publisher and Sponsor is Echelon Finance Ltd, a corporation incorporated in the Republic of the Marshall Islands (registration no. 127117), operating vAPI Network for this campaign. Its registered office is Trust Company Complex, Ajeltake Road, Ajeltake Island, Majuro, Marshall Islands MH96960. Legal and campaign notices may be sent to [email protected].

These Terms do not displace the mandatory law, jurisdiction, dispute process, or venue that applies to an applicant or the Sponsor. Before starting formal proceedings, an applicant and the Sponsor will first try in good faith for 30 days to resolve a written dispute sent to the notice address. A court or authority with jurisdiction under applicable law may hear an unresolved dispute.

These are the Campaign Terms in force for the published version shown above. Material changes are published with a new version and any notice or renewed acceptance required by applicable law.

English is the only controlling publication for this application-only release. Nothing in these Terms removes a non-waivable right, remedy, jurisdiction, or protection that applies to an applicant.
